Terms & Conditions

These Terms and Conditions have the purpose of recording the contractual relationship between OMADUDU N.V. and its customers in a legally correct and transparent manner. They form the basis for all commercial and operational transactions and are an integral part of every agreement between the parties.

1. Scope

These terms apply to all offers, quotations, agreements, deliveries and invoicing of OMADUDU N.V., unless otherwise agreed in writing. By using OMADUDU N.V.’s services, the customer accepts these terms.

2. Definitions

In these terms the following definitions apply:

2.1 OMADUDU N.V.: The service provider, statutorily established in Paramaribo, Suriname, specialised in technology and managed services
2.2 Customer: The natural or legal person who purchases services from OMADUDU N.V.
2.3 Agreement: The contractual arrangement between OMADUDU N.V. and the Customer, including attachments such as quotations, order confirmations, SLAs and Statements of Work
2.4 Services: All products and services offered by OMADUDU N.V., including IT solutions, network management, cloud services, cybersecurity, training and managed services

3. Offers and quotations

3.1 All offers and quotations are non-binding unless explicitly stated otherwise
3.2 An agreement is concluded after written acceptance by the Customer and confirmation by OMADUDU N.V.
3.3 OMADUDU N.V. reserves the right to refuse orders based on creditworthiness or operational feasibility

4. Delivery of services

4.1 OMADUDU N.V. will endeavour to deliver the agreed services to the best of its ability
4.2 Delivery times are indicative and are not strict deadlines, unless otherwise agreed in writing
4.3 OMADUDU N.V. is not liable for delays caused by force majeure, third parties or technical failures

5. Payment and invoicing

5.1 Invoices must be paid within the period stated on the invoice
5.2 In case of late payment, OMADUDU N.V. is entitled to charge interest of 1.5% per month, with a minimum of USD 5.49
5.3 In case of default, OMADUDU N.V. may suspend services until full payment has been received

6. Warranties and liability

6.1 OMADUDU N.V. provides services to professional standards but cannot guarantee absolute freedom from errors
6.2 Defects must be reported in writing within 14 days after discovery
6.3 Liability is limited to re-performance or crediting of the relevant amount, unless otherwise agreed
6.4 OMADUDU N.V. is not liable for indirect damage, consequential loss or loss of profit

7. Confidentiality and privacy

7.1 OMADUDU N.V. treats all confidential information as strictly confidential
7.2 Data is shared only where necessary for performance or required by law
7.3 Processing of personal data is carried out in accordance with the Privacy Statement and applicable law

8. Intellectual property

8.1 All software, documentation and methodologies delivered by OMADUDU N.V. remain its property or that of its licensors
8.2 The Customer obtains only a non-exclusive, non-transferable right of use for the duration of the Agreement

9. Termination of the agreement

9.1 Both parties may terminate the agreement with a 90-day notice period, unless otherwise agreed
9.2 In case of breach or insolvency, the agreement may be terminated immediately
9.3 Services already rendered will be invoiced in full in case of early termination

10. Amendments to terms

10.1 OMADUDU N.V. reserves the right to amend these terms
10.2 Changes will be communicated at least 30 days in advance
10.3 If the Customer does not agree with the changes, the Agreement may be terminated free of charge within that period

11. Force majeure

OMADUDU N.V. is not liable for failures due to force majeure, including but not limited to:

11.1 Natural disasters
11.2 Pandemics
11.3 War situations
11.4 Strikes
11.5 Failures in third-party infrastructure

12. Governing law and dispute resolution

12.1 These Agreements are governed by Surinamese law
12.2 Disputes shall be submitted exclusively to the competent court in Paramaribo, Suriname
